Creative Partner Agreement

01 Engagement & independent contractor status

You are engaged by Creative Martin Studios ("the Studio") as an independent creative partner ("the Partner") to deliver creative work for the Studio's clients. You are an independent contractor — not an employee, agent, or legal partner of the Studio.

You are responsible for your own taxes, tools, equipment, and any insurance. You have no authority to enter agreements or make commitments on the Studio's behalf. This engagement is non-exclusive; you remain free to take on other work that does not conflict with your obligations here.

02 Term & renewal

This Agreement begins when you accept it and continues until it is ended by either party under the Termination & dissolution section. The Studio may issue updated versions; where changes are material, continued participation requires accepting the new version.

03 Studio fee & how you are paid

The Studio works like a marketplace: it finds and manages the client, delivers the work under the Studio brand, and handles account management, quality assurance, and overhead. For providing that work, the Studio deducts a fee of twenty percent (20%) of the invoice value of the work delivered through it.

You are paid the balance — your agreed amount — for the work you deliver. Payment to you falls due only once the client's payment for that work has been received and confirmed by the Studio. Nothing is payable to you on unpaid, cancelled, refunded, or disputed invoices, or on amounts the Studio must return to a client.

04 Payment terms

Your payments are calculated on the amounts actually received from the client and are paid out on the Studio's regular payout cycle. Any quote or invoice you create must be approved by the Studio before it is sent to a client.

The Studio may adjust, offset, or withhold amounts to account for refunds, chargebacks, corrections, or amounts you owe the Studio.

05 Quality standards

You will deliver work to the agreed brief, scope, and deadline, to a professional standard. All work must be your own and must not infringe the rights of any third party. The Studio may request reasonable revisions, and may reassign work that does not meet the agreed standard.

06 Intellectual property

On full payment for a project, all intellectual property in the deliverables you create for a client transfers to the Studio (and onward to the client, as arranged). You warrant that the work is original and that you have the right to assign it, and you waive moral rights to the extent permitted by law.

You may not reuse client deliverables elsewhere, and may only feature approved work in your own portfolio with the Studio's prior written consent.

07 Confidentiality

You will keep confidential all non-public information about the Studio, its clients, projects, pricing, and working methods — both during and after your engagement. You will not disclose or use this information except as needed to perform the work.

08 Non-solicitation

During your engagement and for twelve (12) months afterward, you will not solicit or accept work directly from a Studio client you were introduced to through the Studio, nor solicit the Studio's staff or other partners, without the Studio's written consent.

09 Termination & dissolution

Either party may end this Agreement on written notice. The Studio may suspend or end it immediately for breach, repeated quality issues, or conduct that harms a client or the Studio.

On termination you will complete or hand over any in-progress work. Any payment already due to you on client payments the Studio has received remains payable. The Confidentiality, Intellectual property, and Non-solicitation sections survive termination.

10 Dispute resolution

The parties will first try, in good faith, to resolve any dispute between them. Failing that, this Agreement is governed by the laws of Kenya, and disputes are subject to the courts of Kenya.

11 Electronic acceptance

By ticking the acceptance box and continuing, you confirm that you have read, understood, and agree to this Agreement. Your electronic acceptance has the same effect as a handwritten signature and is recorded with a timestamp against your partner account.
